Think of yourself as a member of a jury, listening to a lawyer who is presenting an opening argument. You'll want to know very soon whether the lawyer believes the accused to be guilty or not guilty, and how the lawyer plans to convince you. Readers of academic essays are like jury members: before they have read too far, they want to know what the essay argues as well as how the writer plans to make the argument. After reading your thesis statement, the reader should think, "This essay is going to try to convince me of something. I'm not convinced yet, but I'm interested to see how I might be."

An effective thesis cannot be answered with a simple "yes" or "no." A thesis is not a topic; nor is it a fact; nor is it an opinion. "Reasons for the fall of communism" is a topic. "Communism collapsed in Eastern Europe" is a fact known by educated people. "The fall of communism is the best thing that ever happened in Europe" is an opinion. (Superlatives like "the best" almost always lead to trouble. It's impossible to weigh every "thing" that ever happened in Europe. And what about the fall of Hitler? Couldn't that be "the best thing"?)

A good thesis has two parts. It should tell what you plan to argue, and it should "telegraph" how you plan to argue—that is, what particular support for your claim is going where in your essay.

Steps in Constructing a Thesis

First, analyze your primary sources.  Look for tension, interest, ambiguity, controversy, and/or complication. Does the author contradict himself or herself? Is a point made and later reversed? What are the deeper implications of the author's argument? Figuring out the why to one or more of these questions, or to related questions, will put you on the path to developing a working thesis. (Without the why, you probably have only come up with an observation—that there are, for instance, many different metaphors in such-and-such a poem—which is not a thesis.)

Once you have a working thesis, write it down.  There is nothing as frustrating as hitting on a great idea for a thesis, then forgetting it when you lose concentration. And by writing down your thesis you will be forced to think of it clearly, logically, and concisely. You probably will not be able to write out a final-draft version of your thesis the first time you try, but you'll get yourself on the right track by writing down what you have.

Keep your thesis prominent in your introduction.  A good, standard place for your thesis statement is at the end of an introductory paragraph, especially in shorter (5-15 page) essays. Readers are used to finding theses there, so they automatically pay more attention when they read the last sentence of your introduction. Although this is not required in all academic essays, it is a good rule of thumb.

Anticipate the counterarguments.  Once you have a working thesis, you should think about what might be said against it. This will help you to refine your thesis, and it will also make you think of the arguments that you'll need to refute later on in your essay. (Every argument has a counterargument. If yours doesn't, then it's not an argument—it may be a fact, or an opinion, but it is not an argument.)

This statement is on its way to being a thesis. However, it is too easy to imagine possible counterarguments. For example, a political observer might believe that Dukakis lost because he suffered from a "soft-on-crime" image. If you complicate your thesis by anticipating the counterargument, you'll strengthen your argument, as shown in the sentence below.

Some Caveats and Some Examples

A thesis is never a question.  Readers of academic essays expect to have questions discussed, explored, or even answered. A question ("Why did communism collapse in Eastern Europe?") is not an argument, and without an argument, a thesis is dead in the water.

A thesis is never a list.  "For political, economic, social and cultural reasons, communism collapsed in Eastern Europe" does a good job of "telegraphing" the reader what to expect in the essay—a section about political reasons, a section about economic reasons, a section about social reasons, and a section about cultural reasons. However, political, economic, social and cultural reasons are pretty much the only possible reasons why communism could collapse. This sentence lacks tension and doesn't advance an argument. Everyone knows that politics, economics, and culture are important.

A thesis should never be vague, combative or confrontational.  An ineffective thesis would be, "Communism collapsed in Eastern Europe because communism is evil." This is hard to argue (evil from whose perspective? what does evil mean?) and it is likely to mark you as moralistic and judgmental rather than rational and thorough. It also may spark a defensive reaction from readers sympathetic to communism. If readers strongly disagree with you right off the bat, they may stop reading.

An effective thesis has a definable, arguable claim.  "While cultural forces contributed to the collapse of communism in Eastern Europe, the disintegration of economies played the key role in driving its decline" is an effective thesis sentence that "telegraphs," so that the reader expects the essay to have a section about cultural forces and another about the disintegration of economies. This thesis makes a definite, arguable claim: that the disintegration of economies played a more important role than cultural forces in defeating communism in Eastern Europe. The reader would react to this statement by thinking, "Perhaps what the author says is true, but I am not convinced. I want to read further to see how the author argues this claim."

A thesis should be as clear and specific as possible.  Avoid overused, general terms and abstractions. For example, "Communism collapsed in Eastern Europe because of the ruling elite's inability to address the economic concerns of the people" is more powerful than "Communism collapsed due to societal discontent."

8 Rules to write a PhD Thesis

Rule 4: make a phd timetable.

A PhD thesis can not be written in one week. Get this through your head. It is hard, maybe even the hardest thing you have to do during your PhD. It is going to be a painful task for most of you (it was for me). So schedule it in a proper time-wise manner. Do not wait until it’s just two weeks before the deadline to start writing. Here is a proposal: make a document with your PhD plan . Write down in that document the important things that need to be done in the last six months of your PhD, preferably in some chronological order. 3 Examples of things to write can be submission of papers, finishing data analyses or other leftover work, writing the thesis, preparing for the defence, sending some important emails, etc. Allocate at least two months of your time for the writing of the thesis . That’s a minimum proposed time frame and it might be far from ideal for you. Time equals money as they say, and that’s definitively the case for the PhD. So you might not want to spend too much of your time in thesis writing. On the other hand, you surely don’t want to underestimate the time that is required for such a colossal task. Therefore, you need to make a well-balanced estimate and plan your thesis writing accordingly. How can then someone derive such an estimate ?

For starters, you need to understand that the exact amount of time that is necessary to finish the thesis writing is hard to predict. The reason for this is that during such a large time period, your life is going to be influenced by a lot of factors. Some of these factors are uncontrollable and there is no way to prepare for them (the phenomenon also simply known as “ life happens ”). Some other factors are directly related to the practical task at hand and can thus be more easily predicted and regulated to your advantage. Using this knowledge, you can make a rough calculation of how much time it will take to write your PhD thesis. I personally think three factors are of significant importance to derive such an estimate. First, the format of the thesis , i.e. a paper-based thesis or a monograph, the latter of which will surely require more time to finish. Second, your personal writing speed , measured in the amount of chapters that you will be able to write on average in a specified time period (usually a week). Third, the number of chapters you need to write. Choosing the format of the thesis should be fairly obvious, based on common practices in your research field, the regulations of your academic institution and the existence or not of published PhD work (papers). Moreover, you should already have a pretty good estimate on the amount of total chapters, based on the modular way of constructing your PhD story as was explained in Rule 3 . Then all that is left, is for you to make an educated guess of your writing speed. The combination of the aforementioned three factors will then help you make a realistic estimation of how long the PhD thesis writing will take.

Let me share with you my personal experience on this matter. My thesis was paper-based. Following the rules in the section During writing , I was writing one to two thesis chapters per week. These were chapter drafts, so definitely not polished material. Therefore, my minimum writing speed was around one chapter per week . Continuing, I had a total of eight chapters to write + the abstract (derived from my initial story structure), which let’s say was equivalent to approximately nine chapters. Worst case scenario, I write one chapter per week, so a total of nine weeks are required. Best case scenario, I write two chapters per week, so a total of five weeks are required (rounding it up). Chapter size plays a huge role as you can probably guess. The proposed estimate of two months time is somewhere between five and nine weeks and closer to the second (the maximum of the two). So, eight weeks, equal to two months, sounded like a good deadline for my writing project. In the end, I finished the thesis writing in seven weeks, which was one week before the deadline. That included also reviewing the edits and comments from my supervisor and several rewrites. The important thing to remember here is that the calculation of your thesis time frame is going to be a personal rough estimate . Therefore, using an average writing speed of one chapter per week without further thought is justifiable (see Rule 7 on how to have more control over this). To summarize, my advice is to 1) calculate the number of chapters you are going to write 2) directly translate that number to weeks and 3) round it up to months. 4

Responsibly follow the time schedule you set up for yourself and be aware to not procrastinate on your thesis writing. This has also been stated more empirically as the notion that “ work expands to fill the time available for its completion ” (Parkinson’s Law). Procrastination can lead to unpleasant and stressful days before the thesis submission, that anyone would gladly dispense with. I have seen people doing rewrites, last minute additions, or otherwise work that could have been done a week or so ago, if properly scheduled. I have heard of people literally running to submit a printed copy in their respective department one hour before the deadline. Doesn’t sound too good to me. It’s a million times better to be prepared and follow your time plan religiously . Try to schedule your thesis writing in an anticipatory manner. This will happen when unfortunate scenarios that you can personally deal with, are managed to a satisfying degree. See also related discussion in the Epilogue .

Make a PhD timetable and allocate a realistic time frame for your thesis writing.

Of course you can make such a plan document from the start of your PhD. I just want to stress here the importance of including in this document what needs to be done during the last stages of your PhD. ↩︎

Remember to round up the resulting number to months! A basic arithmetic example is appropriate here. If you have a total of \(11\) chapters, the time required to write them down would be calculated as follows: \(\frac{11 \text{ chapters }}{1 \text{ chapter/week }}=11 \text{ weeks } \approx 12 \text{ weeks }\) (closest multiple of \(4\) ), which is equal to \(3\) months, assuming that \(1\) month is equal to \(4\) weeks. ↩︎

Can I take more than 1 packet a day?

While our blends are ideal for 4-6 hours of steady focus, it is perfectly safe to take up to 2 blends per day, at least 4 hours apart. For optimal results, take 1 blend upon waking and the next around when you have lunch. Don't take more than 2 packets in a 24 hour period - rest is important!

If you’re not familiar, nootropics are similar to adaptogens in that they’re a class of functional plants that are buzzy in the wellness world. But nootropics — which include ingredients like ashwagandha , L-theanine , choline , and functional mushrooms — are more focused on activating different parts of your brain to support motivation, mood, memory, and cognitive processing . That’s why they’re sometimes called smart drugs or cognitive enhancers — and thus have a different role to play than everyday vitamins.

I tried them out for a month and I have some thoughts. Here’s what it was like to try Thesis, in case you’re also a coffee fiend who could use a little more focus and energy.

How do Thesis supplements work?

To get started, you’ll first take a quiz on the Thesis website that asks you about how you feel on a day-to-day basis, how much coffee you drink, what your energy levels are like, and how much you sleep (among other lifestyle questions) so that it can determine the best supplements for you. It’ll then send you a starter kit with six different supplement blends targeted for each issue you might be experiencing. From there, it’s up to you to decide which ones you want to continue using. It works like a process of elimination — you experiment by taking each supplement for six days to see whether or not it feels effective.

The Thesis line features eight different supplement blends: Creativity, Focus, Motivation, Clarity, Energy, Motivation, Confidence, and Logic. Though the brand notes it would love to formulate one pill that works for everyone, brain chemistry is so complex, so it decided it’s better to take the long route and have customers try multiple supplements in order to find the best fit for their noggin. That’s why Thesis also puts you in contact with a wellness coach, so you can chat and ask questions with an expert along the way.

How Do Nootropics Work?

Nootropics are meant to allow your brain to do its thing, only faster and with more efficiency. So, instead of slogging away at your desk with brain fog , you might notice that you feel perkier, extra organized, and more on-point than you normally do as you continue taking the supplements.

Some of the blends contain the nootropic acetylcholine , which is a neurotransmitter from the essential nutrient choline known for memory, learning, and healthy brain function . There are also plenty of amino acids, vitamins, and plant-based adaptogens in each packet to fight off fatigue and stress while protecting your brain from toxins so it’s easier to take in info — and actually remember what you learned. Other staple nootropics include ginkgo biloba , certain kinds of mushrooms, and caffeine, each of which plays a unique function in your cognitive function.

My Experience

What it was like to take Thesis supplements.

When I took the Thesis quiz , I said that I wanted to improve my energy, focus, and mood. A few days later, I received my starter kit, which contained Clarity , Confidence , Motivation , and Logic all laid out in cute little boxes. You’re supposed to pick one — each box contains six sachets full of pills — and take a packet a day for six days. I was immediately drawn to Clarity, a supplement combo that’s supposed to help with high-pressure situations, concentration, and tasks that require focus and attention. It has Lion’s Mane extract (a mushroom), caffeine, L-theanine , and a few other ingredients meant to support a calm, focused flow. The idea is to take the supplements in the morning so they kick in before you start your day, and most of the effects are said to last from four to six hours.

I’d been taking Clarity for a few days when I had a phone call with Cindy Yan , a Thesis wellness coach and nootropics expert. We chatted about my usual routine, how I’d been feeling, and any questions I had about the process. When I said I felt a slight uptick in focus, but nothing too dramatic, Yan told me the first couple days are called the “loading phase” which is when the nutrients work their way into your body. If you don’t feel anything after that point, it’s a sign the supplement isn’t necessary or right for your neurochemistry. If you do like how you feel, it’s a keeper.

As we chatted about my routine, Yan realized I’d benefit from Creativity, an ashwagandha-based supplement meant for brainstorming and public speaking, so that I could feel like a rockstar at work. I also told her that I tend to crave a nap around 3 p.m., so she suggested the Energy supplement made with choline and mango leaf extract , which you can take every day or on extra-busy days, before a workout , or whenever you want to feel alert.

Talking to a coach as I tested the supplements was a true perk. While the quiz got me started with some great options, having access to Yan helped me hone in on what I truly needed.

An honest review of Thesis nootropics.

Yan suggested I log how I felt every day as I took each supplement so I could keep track of any noticeable differences. A week in, I looked at the scribbles in my notebook and noticed that I did seem more productive during the six days I took Clarity. I wasn’t launching rockets to the moon, but I was getting through my emails and typing away like a woman on fire.

The next supplement on my agenda was Energy, a blend meant for busy days, intense workouts, and staying alert thanks to its mango leaf, theacrine , caffeine, and n-acetyl cysteine — and this is the one that gave me the most benefit. Yan was right on the money. She said I could take it in the morning and/or right after lunch to nip my afternoon slump in the bud, and it truly worked — no fourth mid-day coffee for me.

The more I took Energy, the less I felt like I needed to unhinge my jaw and dump as much cold brew into my face as possible. I found myself drinking a sensible cup or two in the morning, and that was that. Thesis says you can feel the effects of the supplements in as little as 30 minutes or it can take up to five days for all the benefits to sink in as your body and brain adjust. For me, though, Energy kicked in pretty quickly.

The Bottom Line

Typically, Thesis users land on two or three supplements for their regimen. After the month-long trial phase, you can order just the ones you want and forget about the rest. Personally, I’m sold on Energy and can see myself hanging onto Clarity, too.

Thesis seems to have figured things out in the nootropic supplement realm. While the boxes seem pricey, it isn’t so bad when you think about buying each supplement on your own individually — and the fact that you get a wellness coach, too.

TL;DR: I’d recommend it for anyone who feels fatigued, unproductive, or unfocused, or for folks who rely on caffeine to get through the day, like me. You might just find that there’s a better way.

On Transgender Day of Visibility, we honor the extraordinary courage and contributions of transgender Americans and reaffirm our Nation’s commitment to forming a more perfect Union — where all people are created equal and treated equally throughout their lives.  

I am proud that my Administration has stood for justice from the start, working to ensure that the LGBTQI+ community can live openly, in safety, with dignity and respect.  I am proud to have appointed transgender leaders to my Administration and to have ended the ban on transgender Americans serving openly in our military.  I am proud to have signed historic Executive Orders that strengthen civil rights protections in housing, employment, health care, education, the justice system, and more.  I am proud to have signed the Respect for Marriage Act into law, ensuring that every American can marry the person they love. 

Transgender Americans are part of the fabric of our Nation.  Whether serving their communities or in the military, raising families or running businesses, they help America thrive.  They deserve, and are entitled to, the same rights and freedoms as every other American, including the most fundamental freedom to be their true selves.  But extremists are proposing hundreds of hateful laws that target and terrify transgender kids and their families — silencing teachers; banning books; and even threatening parents, doctors, and nurses with prison for helping parents get care for their children.  These bills attack our most basic American values:  the freedom to be yourself, the freedom to make your own health care decisions, and even the right to raise your own child.  It is no surprise that the bullying and discrimination that transgender Americans face is worsening our Nation’s mental health crisis, leading half of transgender youth to consider suicide in the past year.  At the same time, an epidemic of violence against transgender women and girls, especially women and girls of color, continues to take too many lives.  Let me be clear:  All of these attacks are un-American and must end.  No one should have to be brave just to be themselves.  

At the same time, my Administration is working to stop the bullying and harassment of transgender children and their families.  The Department of Justice has taken action to push back against extreme and un-American State laws targeting transgender youth and their families and the Department of Justice is partnering with law enforcement and community groups to combat hate and violence.  My Administration is also providing dedicated emergency mental health support through our nationwide suicide and crisis lifeline — any LGBTQI+ young person in need can call “988” and press “3” to speak with a counselor trained to support them.  We are making public services more accessible for transgender Americans, including with more inclusive passports and easier access to Social Security benefits.  There is much more to do.  I continue to call on the Congress to pass the Equality Act, to codify civil rights protections for all LGBTQI+ Americans.

Today, we send a message to all transgender Americans:  You are loved.  You are heard.  You are understood.  You belong.  You are America, and my entire Administration and I have your back.

NOW, THEREFORE, I, JOSEPH R. BIDEN JR., President of the United States of America, by virtue of the authority vested in me by the Constitution and the laws of the United States, do hereby proclaim March 31, 2024, as Transgender Day of Visibility.  I call upon all Americans to join us in lifting up the lives and voices of transgender people throughout our Nation and to work toward eliminating violence and discrimination based on gender identity.

Myths and misinformation run rampant on the internet all the time these days, but never more reliably than on April 1.

People have celebrated April Fools' Day for centuries with all sorts of jokes and pranks, and while old-school traditions (hello, rubber snakes) remain plenty popular, gags have grown considerably more high tech over the years.

And fake news and announcements — whether by a major company, public figure, a random social media user or your childhood best friend — can take off quickly and morph wildly, thanks to social media.

It can be tough to tell whether something online is real, especially with artificial intelligence making it increasingly easy for anyone to create fake images, video, audio and text.

It took Sam Gregory, for example, under a minute to write the text prompt needed to create a fake image of the Easter Bunny for his kids last year, as he told NPR. He's well-acquainted with the challenges of combating deepfakes as the executive director of WITNESS , a human rights nonprofit whose work involves helping people recognize and respond to deceptive AI.

"We're in this moment where it's much easier to make both personalized and individualized, realistic images and audio and increasingly video, and in the hands of many more people," Gregory said. "And then the flip side of that is that the tools are not easily available on the technical side to spot them."

There are some resources out there — from news literacy nonprofits to trusted media sources — that can help sort fact from fiction. But much of that responsibility falls to internet users themselves.

Part of that involves understanding the moments where myths tend to spread, like in the immediate aftermath of a breaking news event or on April Fools' Day, says Dan Evon, the senior manager of education design at the News Literacy Project and a former Snopes fact-checker.

He says April Fools' Day, with its trend of advertisements masked as jokes, is a perfect time for people to get in the mindset of anticipating and investigating misinformation.

"April Fools' Day jokes in general don't try to persuade your politics or make you angry or target the negative emotions that are dangerous online," he told NPR. "And a lot of the things that you find are humorous. So from a news literacy perspective, it's kind of fun to encourage people to practice your skills."

Plus, he notes, some of the rumors that originate on April Fools' Day could have staying power or resurface much later, like the fake image of an elephant carrying a lion cub that circulated years after it was first posted as a prank.

Here are some steps you can take to reduce your chances of getting fooled online, on Monday and beyond.

The biggest piece of advice that Evon tells people is to simply slow down.

"Social media is really fast, and there is so much information that comes at us at once," he says. "You don't have to go through this stuff so quickly, you can take some time — just a few extra seconds — to examine these posts."

Gregory similarly says to stop when you see something that's "too good to be true, or too crazy to be believable, or too-anger inducing."

He cites the SIFT methodology for evaluating information, developed by researcher Mike Caulfield . It stands for: Stop, investigate the source, find better coverage and trace claims, quotes and media to the original context.

Once a piece of media gives you pause, he says, consider who shared it. Are they friend, foe or stranger?

"Is it your friend who's sharing it, or someone you know? And is it something they made themselves?" Gregory adds. "Or is it online and it's just a random X account that is trying to explain to you that the King of England has just died, but they seem to generally tweet gossip, and they're based in California?"

In other words: Are they a credible source for the context in which you're encountering the information?

This step is a little trickier on April Fools' Day, Evon adds, because a lot of the jokes are likely to be coming from verified official accounts. That's why it's especially important to consider the context.

"If you're going to encounter an AI image, you don't just see the AI image," he says. "You see where it's been posted, you see the comments that are attached to it, you see the caption that's presented — on April Fools' Day, you see the date. And maybe that makes you a little skeptical of whether or not it's real."

See what others are saying

The next step is to do what experts call "lateral reading," which is basically seeing what else is out there.

"If your only source of information is the one post that you're seeing, there's good reason to be skeptical of that," Evon says.

For instance, he says, if a major tech company is actually announcing a new initiative, there's likely to be news coverage of it from at least some credible sources.

This isn't a foolproof test. Just because people are talking about something online doesn't make it reliable — take all the amateur forensic experts analyzing Kate Middleton's controversial family photo , Gregory notes.

But seeing what — and how much — people have to say in the comments section of an X post or TikTok video can be a helpful clue, both experts agree.

"I think it's often worth looking at the comments not because the comments tell you the truth, but the comments tell you if there's a debate around this that merits further investigation," Gregory says.

Look for the original

Another tactic is to try to track down the original image, something Gregory says is easier to do with "shallow fakes," or photos manipulated with basic editing software.

Oftentimes people will take an existing image or video and just say it's from another time or place. Doing a reverse image search can help you challenge or back up that claim.

That basically involves "taking a screenshot and plugging into a search engine and then seeing what pops up," according to Evon. He recommends using sites like Google Images, TinEye and Bing.

Making sense of those results requires some more critical thinking, Gregory explains.

"It's going to pop up and say, 'Wait a second, someone told you this image was from yesterday, but we have an earlier version that's from last year,' " he says. "Now, it doesn't mean the image is from last year, but it certainly tells you it's not from yesterday."

When it comes to AI deep fakes, Gregory says there are plenty of clues that people have been told to look for to try to spot manipulated photos and videos — from hands that don't look quite right, to garbled writing in an image, to eyes that don't properly blink.

The problem, he adds, is that most of those glitches are going away as companies get better at AI.

"If we had talked a year ago, it would have been more reliable to say, look at the hands. The hands have got better," he says. "If we talked a year ago it'd been more reliable to say, look at the writing. But then companies have introduced ways to write more accurately."

Amplify responsibly

Internet trickery doesn't mean you can never retweet a funny post or play a harmless prank again. But experts urge caution when amplifying information, no matter the date on the calendar.

"There are going to be jokes that people are going to circulate, in a lot of instances these are going to be funny," acknowledges Evon. "I don't think it's ever good to intentionally lie to someone or mislead someone, so if you do share something, maybe comment and remind people that it's fake."

He offers this broader rule of thumb: If you're skeptical of something, don't help it go viral. And if you do encounter accurate information — like a fact-check or correction — help amplify that instead.

When it comes to reposting, Gregory recommends pausing "in proportion to your emotional reaction." So if you're about to share something inflammatory, defamatory or that reinforces a worldview in a "highly emotional way," he says stop first to consider your motivations for sharing it — and whether that post is the best way to achieve them.

Consider patterns

April Fools' Day may be a unique day in many ways, but it also reflects broader trends in misinformation.

It's not the only day of the year where people should be bracing for falsehoods online, Evon says, noting that people tend to exploit major breaking news stories (like the collapse of the Baltimore bridge ) to promote misinformation.

"What we really want people to do is, we want to learn the patterns that these things follow, so that they can better recognize them in the future," he explains.

This year, Gregory is most expecting to see the proliferation of AI images — because they're so easy to make — and audio, because it's already being seen in so many other contexts, from phone scammers using voice clones to an election-related robocall purported to be from President Biden.

"I bet we're going to see many, ho-ho-ho April Fools' jokes with audio clones, some of which you and I will never hear because it'll just be me making one for my friend and sending it to them," he says. "And of course if you go on TikTok you're gonna see fake AI audio everywhere. And it cuts across that whole spectrum, from humorous and prank to financial scam to political upheaval."

He also notes that the uncertainty created by AI hasn't only made it easier for people to falsify things, but for people to try to dismiss real footage as fake. That's just another reason, he says, to pay close attention.

Trump’s Media Company Worth Nearly $8 Billion on First Trading Day

Trump Media & Technology Group, fresh from a merger with a cash-rich shell company, started trading on the Nasdaq, adding billions of dollars to the former president’s wealth.

Former President Donald J. Trump’s social media company jumped on its first day of trading on the Nasdaq on Tuesday, giving the company an estimated market value of close to $8 billion, larger than established corporations like Mattel, Alaska Airlines and Western Union.

The biggest beneficiary of the market action has been Mr. Trump, who owns about 60 percent of Trump Media, making him the largest shareholder. His stake in the company — the parent of Truth Social, the online platform that is Mr. Trump’s main megaphone for reaching supporters and attacking critics — is worth about $4.6 billion on paper.

For many investors, investing is as much as a sign of support for Mr. Trump personally as it is for his relatively small, loss-making social media company, which describes itself as a platform that stands against censorship by Big Tech. Such was the frenzy on Tuesday that trading in Trump Media’s shares was briefly halted by the stock exchange shortly after it opened because of extreme volatility. After gaining as much as 40 percent, the stock eased toward the close, ending the day 16 percent higher.

Trump Media closed its merger with Digital World Acquisition Corporation, a cash-rich public shell company, on Monday.

“We do appreciate President Trump but it’s more about free speech,” said Mark Willis, 63, who lives in Indian Trail, N.C. and has been buying shares in the public shell company that merged with Trump Media ever since the merger plan was proposed in 2021. “We believe this is the only social media platform that is not heavily influenced by the government.”

Scott Lewczak, a graphic designer in Nokesville, Va., and another longtime shareholder, said he is going to make money on the big surge in the price of Trump Media, but that is not the point. He said his investment was to support Truth Social and Mr. Trump.

“Even if I lose every penny, I will fight to the end,” Mr. Lewczak said.

The investors who have piled into the stock of Digital World, and now Trump Media, have tended to be individuals, rather than investment firms and hedge funds.

By most traditional measures, Trump Media’s valuation is inordinately high. The company took in just $3.3 million in revenue during the first nine months of last year, all from advertising on Truth Social, and recorded a loss of $49 million.

That means Trump Media’s market value is nearly 2,000 times its estimated annual revenue. Investors sometimes assign lofty valuations to small, loss-making companies in anticipation of rapid growth — or a belief that other investors will continue to bid up a company’s shares, for whatever reason — but typically not on this scale.

Other social media companies trade at far smaller price-to-sales ratios than Trump Media: Reddit is around 10, Meta is 7 and Snap is 6, according to FactSet. High-flying tech stocks like the chipmakers Nvidia and ARM trade at price-to-sales ratios of about 25.

On a message board on Truth Social, created by supporters of the merger, some of these investors cheered on the stock-market debut of Trump Media.

“If anyone deserves to be a trillionaire, it is Donald J Trump,” one poster said. “Never bet against a billionaire with over a hundred million supporters who are determined to fix America and preserve freedom for all” said another.

Chad Nedohin, 40, who has been a vocal supporter of the merger on Truth Social, said in an interview that most people buying Trump Media’s stock are not focused on the valuation of the company but making sure Truth Social remains viable.

“You are looking at people who are investors and not traders,” said Mr. Nedohin, who lives in Canada and works as an engineer and a Christian worship leader. “We are seeing long-term holders who are MAGA and they are Trump’s base.”

Still, based on its trading patterns, Trump Media looks a lot like the so-called meme stocks — GameStop, AMC Entertainment and others — that were propelled to dizzying heights by armies of amateur investors during the pandemic. Meme stocks tend to trade more on emotion than fundamentals.

“It’s difficult to say how this will trade, but it definitely has the DNA of a meme stock, so we might see some extreme volatility,” said Kristi Marvin, a former investment banker and editor of SPACInsider, which gathers data on the market for special purpose acquisition companies.

Trump Media’s prospects met with skepticism on popular investment boards on the social media platform Reddit. “Do people really dare to buy this stock?” asked one poster.

Many of the publicly listed holders of the stock, with most filings dating to the end of 2023, are retail investment advisers who help facilitate trading on behalf of individual clients, and those contacted by The New York Times were broadly unwilling to express a view on Trump Media themselves.

“Our typical advice to our clients is that you are best owning a diversified portfolio,” said Kevin Grogan, chief investment officer for Buckingham Wealth Partners.

Digital World was founded as a special purpose acquisition company. The sole purpose of a SPAC is to raise money from investors and then merge with an operating business, which then becomes the publicly traded entity.

Any big investors that bought shares of Digital World or Trump Media would not be required to publicly disclose their holdings until the middle of May. Some big investors have shorted, or bet against, Trump Media shares, on the assumption that the company cannot continue to trade at such a heady price.

Trump Media, according to S3 Partners, a financial data company, is now the most shorted company to merge with a SPAC in the United States.

The merger between Trump Media and Digital World this week was completed as Mr. Trump faced a deadline to secure a bond to cover a big penalty imposed by a judge in a civil fraud case. But in a break for Mr. Trump, an appellate court reduced the amount that he would need to post, to $175 million from $454 million, and gave him more time to raise the money.

The appellate court’s action seemed to ease the pressure on Mr. Trump to try to tap his newfound Trump Media wealth. To do so, he would need the company’s new seven-member board to remove a restriction that prevents him from selling shares or using shares as collateral for six months.

The board may still vote to loosen that restriction if that is what Mr. Trump wants. He holds tremendous sway over the company: Besides owning about 60 percent of Trump Media’s stock, he owns a separate class of shares that gives him at least 55 percent voting power over any measure presented for a shareholder vote. And the company’s seven-member board is stacked with loyalists, including his eldest son, Donald Trump Jr.

But now that Mr. Trump no longer faces an urgent need to raise a large amount of cash, he might be content to let the six-month restriction on selling shares remain. From Mr. Trump’s perspective, the surging price of Trump Media’s shares gives him bragging rights on the campaign trail. One of his political calling cards has been to talk about his success as a businessman and his enormous wealth — something that’s easier for him to do since the merger.

The bigger challenge for Trump Media’s board is coming up with a strategy to increase the company’s business and expand the reach of Truth Social in order to justify the company’s valuation. Truth Social is a relative minnow in the social media universe and largely dependent on Mr. Trump’s posts for drawing traffic.

In merging with Digital World, Trump Media got a badly needed infusion of roughly $300 million in cash that Digital World had raised from investors. Without that infusion, Trump Media and Truth Social were looking at potentially shutting down.

And as a public company, Trump Media will be required to file periodic financial reports with the Securities and Exchange Commission and reveal in detail any deals it may strike with Mr. Trump.

“In a public company you have the scrutiny now of investors and regulators,” said Usha Rodrigues, a professor of corporate law at the University of Georgia School of Law. “Any stockholder now has standing to bring a lawsuit if they claim one of the company’s statements is misleading.”

The deadline for voting is 11:59 tonight. The WSJ said that over half of all shares had been voted so far, so things could still change.

Disney and BlackRock declined to comment.

Peltz’ Trian Partners is voting about 1.5% of Disney, his shares and those of ally Ike Perlmutter. He wants board seats for himself and former Disney executive Jay Rasulo. To that end, he has asked shareholders to unseat Disney nominees Maria Elena Lagomasino and Michael Froman. There are 12 director seats. The nominees with the most votes win.

Trian and Disney have been hurling mud at each other since early this year, bombarding stockholders with frequent and elaborate missives, videos and charts. Disney has racked up a bill of at least $40 million in outreach, including telephone calls to individual retail shareholders. The company has a larger than average retail shareholder base.

Trian has spent about $25 million in its push. Battle lines have been forming. BlackRock is a big get. There’s been no word regarding Disney’s other top two shareholders, Vanguard and State Street.

The scorecard so far: In the Disney camp — proxy advisory film Glass Lewis, shareholders New York City Retirement Systems and ValueAct, as well as Walt Disney family members, former CEO Michael Eisner, Laurene Powell Jobs, George Lucas and actor Josh Gadd (voice of Olaf in Frozen ).

It’s been a three-ring circus with another institutional investor Blackwells Capital fielding three of its own nominees to the Disney board . It’s also spent millions to promote them but without getting much traction.

A SEC rule requiring what’s called a universal proxy card has made shareholder board challenges easier. Since September of 2022, proxy cards must include the names of all nominated director candidates proposed by any party, and shareholders voting by proxy can choose any combination of nominees. Previously, only shareholders voting in person at annual meetings could mix and match.

“You can tell it’s going to be close because they [Disney] are really scraping and communicating and trying to get every last vote,” said Michael Levin of The Activist Investor, which advocates for shareholders. It apparently wasn’t close enough for Disney to offer Peltz a seat in a last-minute deal, as sometimes happens in proxy fights and some anticipated might here.

“There are towering egos involved,” Levin says. By now, “This has become a little bit less about the direction of the business, and more about who is going to prevail.”

“The debate about what does he [Peltz] know about the media business and how is he going to fix streaming is nice, but Disney has 300 people in the company who have ideas about that. The kind of thing Peltz [would] contribute is pure governance. The core problem with the board is that they are completely loyal to Bob Iger … So you have 11 people consistently unable to push back on him, to question him. Nelson Peltz [wouldn’t] have that problem.”

That’s how Peltz has in part described the Disney board. The company disagrees with that characterization.

From a Wall Street perspective, the outcome won’t alter Disney’s investment thesis much.

“I don’t think my opinion on Disney would change. I don’t think [Peltz has] had any constructive new comments, or thoughts, that are earth shattering. I think he’d be a pain in the board room and I do agree with what Iger has said, that it’s a distraction he doesn’t need,” says one analyst. “The difference in Nelson Peltz being on the board and not being on the board will be about how much cr*p is he going to give Iger.”

A director Peltz “could mean a higher likelihood that Iger truly does retire in 2026,” he added. But Peltz or no Peltz, there’s pressure to get succession right this time.

If Peltz loses, “there will also be the thought that if the stock goes down, he’ll be back.”
